Welcome to Energy Management Solutions Ltd. (“EMS Ltd”). By using our services, including our website and any social media or associated marketing materials, you agree to the following terms and conditions. These terms govern your interaction with EMS Ltd, including the promotional offers made through advertising. Please read them carefully before proceeding with any engagement with our services.
- Zero Upfront Solar Panel Systems
1.1. The “Free Solar Panel Systems” promotion is part of EMS Ltd’s advertising and marketing strategy. This term refers to solar panel systems with zero upfront costs to the client, and not to a completely free solar system. Customers will be required to pay in accordance with a payment plan or financing agreement, which will be outlined at the quotation stage.
1.2. The final cost, payment schedule, and terms of the solar panel system installation will be confirmed in writing by EMS Ltd prior to commencing any works. Verbal or implied agreements will not be considered binding.
- Marketing Materials and Advertisements
2.1. All marketing visuals, artwork, images, and wording used by EMS Ltd are for advertising purposes only. They are designed to attract interest in our services and products but may not represent the exact product or system offered.
2.2. The final product and services being offered to a client will be confirmed in writing, following a consultation and quotation process. Clients are advised not to rely solely on marketing materials when making decisions regarding the services.
- Pricing and Quotations
3.1. Any pricing mentioned in EMS Ltd’s marketing materials, including websites, brochures, social media, or advertisements, is indicative only and subject to change. Final pricing will be confirmed during the quotation or booking stage and agreed in writing between EMS Ltd and the client.
3.2. EMS Ltd is not liable for any discrepancies between advertised prices and the final agreed price in the quotation. All quotations are valid for a limited time and may be subject to review based on material costs, availability, or other factors.
- Government Energy Grants and Subsidies
4.1. References made to government energy grants or subsidies in any marketing or promotional material are for informational purposes only and reflect the schemes that may be available at the time.
4.2. EMS Ltd does not guarantee the availability of any government grants, subsidies, or financial incentives and is not responsible for the approval or rejection of such grants by the relevant authorities. It is the client’s responsibility to confirm their eligibility for any government schemes.
- Changes and Modifications
5.1. EMS Ltd reserves the right to modify or update these terms and conditions at any time. Any changes will be effective upon posting to our website, and it is the client’s responsibility to review these terms regularly.
5.2. EMS Ltd also reserves the right to modify or withdraw promotional offers at any time, without notice, unless a written agreement has been made.
5.3. EMS Ltd reserves the right to reject or decline any request for any ongoing or past offers or advertised promotions, at its sole discretion and without any obligation to provide a reason.
- Liability Disclaimer
6.1. EMS Ltd will not be held responsible for any misunderstandings, misinterpretations, or assumptions based on marketing materials. Clients must ensure that they fully understand the terms of any agreement before proceeding.
6.2. EMS Ltd shall not be liable for any indirect, special, or consequential damages arising out of or in connection with the use of promotional materials or the services provided.
- Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which EMS Ltd operates. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts within this jurisdiction.
8. Client Obligations
8.1. The client is duly obliged to inform EMS Ltd of any commitments—past, present, or future—that may impact the client’s ability to make payments to EMS Ltd. Such commitments may include, but are not limited to, financial obligations, garnishee orders, court orders, or any other liabilities or encumbrances that may affect the client’s financial standing.
8.2. Failure to disclose such information will result in the suspension or termination of the agreement, at the discretion of EMS Ltd, and the client will be liable for any resulting losses or damages.
8.3. EMS Ltd will only offer credit lines or promotional offers after it is satisfied that all credit obligations can be met without issues by the client. Should there be reasonable doubt or suspicion regarding the client’s financial capacity, EMS Ltd reserves the right to withdraw from the Sale Contract or Quotation at its sole discretion.
9. Eligibility for Free System Scheme/Offer
9.1. The Free System Scheme/Offer is exclusively available to Maltese citizens who have resided in Malta for a minimum of ten (10) consecutive years. Proof of citizenship and residency duration may be requested at the time of application or approval of the offer.
9.2. EMS Ltd reserves the right to verify eligibility and, if necessary, decline the scheme/offer if the criteria are not met or if the provided information is found to be inaccurate or insufficient.
